1. ACCESS & ACCOUNT RESPONSIBILITY

You are responsible for maintaining the security of your account, store integrations, payment methods, and all activities that occur under your account.
To access certain Services, Customer may be required to create an account or connect third-party ecommerce platforms.
Customer agrees to:
- provide accurate information;
- maintain current billing information;
- maintain account security;
- restrict unauthorized access;
- immediately notify PROMISE APPAREL LLC of any unauthorized use.
Customer is solely responsible for all activity occurring under their account, including:
- submitted orders;
- uploaded artwork;
- integrations;
- API usage;
- customer communications;
- fulfillment instructions.
PROMISE APPAREL LLC shall not be liable for losses resulting from unauthorized account access.
PROMISE APPAREL LLC reserves the right to:
- suspend accounts;
- terminate accounts;
- refuse access;
- restrict platform functionality;
- cancel orders;
- audit accounts;
- hold transactions;
- request identity verification;
at its sole discretion and without liability.
2. SERVICES PROVIDED
Summary
PROMISE APPAREL LLC provides print-on-demand manufacturing and fulfillment services on an “as available” basis.
PROMISE APPAREL LLC provides services including but not limited to:
- DTG printing;
- DTF printing;
- UV-DTF printing;
- screen printing;
- embroidery;
- warehousing;
- fulfillment;
- packaging;
- white-label shipping;
- API integrations;
- ecommerce automation;
- inventory synchronization;
- automated routing;
- design-related services.
Services may change at any time without prior notice.
PROMISE APPAREL LLC reserves the unrestricted right to:
- add or remove products;
- substitute garments, blanks, packaging materials, thread colors, or production methods with substantially similar alternatives when necessary due to inventory shortages, manufacturer discontinuations, supply chain disruptions, or operational constraints;
- discontinue blanks;
- modify workflows;
- substitute products;
- change pricing;
- alter production methods;
- update shipping methods;
- change software functionality;
- modify automations;
- update integrations.
PROMISE APPAREL LLC does not guarantee:
- uninterrupted service;
- error-free operation;
- constant inventory availability;
- exact production timelines;
- compatibility with third-party platforms.
Services are provided on an “AS IS” and “AS AVAILABLE” basis.
3. MODIFICATIONS TO SERVICES & TERMS

We may modify these Terms, Services, pricing, or policies at any time.
PROMISE APPAREL LLC reserves the right, at its sole discretion, to modify:
- these Terms;
- pricing;
- products;
- fulfillment methods;
- production standards;
- software functionality;
- integrations;
- shipping methods;
- service offerings.
Modifications become effective immediately upon posting.
Customer’s continued use of Services constitutes acceptance of modified Terms.
Customer is responsible for reviewing updated Terms regularly.
4. CUSTOMER CONTENT & ARTWORK
Summary
You retain ownership of your artwork, but you are fully responsible for all content submitted to our Services.
All artwork, logos, graphics, text, images, mockups, files, and related content submitted by Customer (“Content”) remain Customer property.
However, by submitting Content, Customer grants PROMISE APPAREL LLC a worldwide, royalty-free, non-exclusive license to:
- process;
- print;
- reproduce;
- display;
- modify when necessary for production;
- store;
- transmit;
- fulfill;
- generate mockups;
- provide Services.
Customer represents and warrants that submitted Content:
- does not infringe copyrights;
- does not infringe trademarks;
- does not violate intellectual property laws;
- is legally owned or licensed by Customer.
PROMISE APPAREL LLC does not verify ownership rights.
Customer assumes full legal responsibility for all submitted Content.
4.1 ARTWORK RESPONSIBILITY
Customer is solely responsible for ensuring artwork files are:
- print-ready;
- transparent when required;
- high resolution;
- properly exported;
- correctly sized;
- color-corrected;
- flattened appropriately.
PROMISE APPAREL LLC may, but is not obligated to, review files for obvious production issues.
Any suggestions, warnings, corrections, or assistance provided by PROMISE APPAREL LLC shall be considered courtesy accommodations only and shall not transfer responsibility for final file approval to PROMISE APPAREL LLC.

- low-resolution uploads;
- blurry prints caused by file quality;
- customer formatting mistakes.
Products are produced substantially as submitted.
4.2 PROHIBITED CONTENT
Customer may not upload or submit content containing:
- illegal material;
- hate speech;
- child exploitation;
- terrorist content;
- harassment;
- explicit unlawful material;
- malware;
- content infringing intellectual property rights.
PROMISE APPAREL LLC reserves the unrestricted right to reject or remove content at its sole discretion.
5. INTELLECTUAL PROPERTY
Summary
You are legally responsible for the content you upload and the products you sell.
Customer agrees to defend, indemnify, and hold harmless PROMISE APPAREL LLC from any intellectual property claims relating to:
- uploaded artwork;
- logos;
- branding;
- product designs;
- customer-generated content.
PROMISE APPAREL LLC reserves the right to:
- reject suspected infringing content;
- suspend accounts;
- terminate services;
- comply with takedown notices;
- cooperate with legal authorities.
Repeated infringement may result in permanent account termination.
6. USE OF SERVICES
Summary
You agree not to misuse our Services or interfere with our operations.
Customer agrees not to:
- abuse employees;
- interfere with systems;
- upload malicious software;
- engage in fraudulent transactions;
- manipulate pricing;
- overload servers;
- bypass workflows;
- exploit automation systems.
PROMISE APPAREL LLC reserves the right to:
- investigate misuse;
- suspend accounts;
- terminate access;
- pursue legal remedies.
7. AUTOMATED SYSTEMS & INTEGRATIONS
Summary
PROMISE POD uses automated software systems and third-party integrations that may occasionally experience interruptions or inconsistencies.
PROMISE POD utilizes:
- API integrations;
- automated order routing;
- ecommerce synchronization;
- inventory syncing;
- automated mockup systems;
- shipping automations;
- third-party software providers.
Customer acknowledges that automation systems may experience:
- sync delays;
- duplicate orders;
- software bugs;
- API interruptions;
- inventory mismatches;
- delayed updates;
- technical outages.
PROMISE APPAREL LLC shall not be liable for losses arising from:
- third-party integrations;
- ecommerce platform outages;
- automation behavior;
- software interruptions;
- inventory sync failures.
Customer assumes all risks associated with automated workflows.
8. PRINT PRODUCTION STANDARDS & INDUSTRY TOLERANCES
Summary
Custom garment decoration contains normal manufacturing tolerances that are not considered defects.
Customer acknowledges that custom apparel production includes acceptable industry tolerances.
These may include:
- slight placement variance;
- slight color variance;
- pretreatment visibility;
- fibrillation;
- dye migration;
- curing differences;
- embroidery pull;
- garment shrinkage;
- seam variance;
- vintage dye inconsistencies;
- scorching sensitivity on specialty garments.
These characteristics are considered normal production outcomes and not defects.
PROMISE APPAREL LLC does not guarantee:
- exact Pantone matching;
- identical repeat production;
- exact digital-to-print color reproduction;
- exact placement consistency.
Customer acknowledges that DTG, DTF, embroidery, and screen printing processes naturally vary.
9. PRODUCT DESCRIPTIONS & MOCKUPS
Summary
Mockups and digital previews are approximate representations and may differ from final physical products.
PROMISE APPAREL LLC attempts to represent products accurately through:
- mockups;
- previews;
- templates;
- photographs;
- digital renderings.
However, Customer acknowledges:
- monitor calibration varies;
- garment dyes vary;
- lighting conditions vary;
- print methods vary;
- fabric textures vary.
Final products may differ from digital previews.
PROMISE APPAREL LLC shall not be liable for minor differences between mockups and final products.
Customer acknowledges that substitute garments, blanks, or materials may differ slightly in:
- fabric feel;
- dye lots;
- sizing;
- texture;
- stitching;
- fit;
- color tone.
Such differences shall not constitute defects.

10. ORDERS & PRODUCTION WORKFLOW
Summary
Orders move through an automated production workflow and may not be editable once submitted.
Production workflow may include:
- picking;
- pretreatment;
- pressing;
- printing;
- curing;
- quality control;
- sorting;
- packaging;
- shipping.
Once an order enters production, modifications may not be possible.
PROMISE APPAREL LLC reserves the right to:
- place orders on hold;
- cancel suspicious orders;
- reject artwork;
- substitute products;
- delay fulfillment for operational reasons.
Customer is solely responsible for reviewing:
- order details;
- garment selections;
- quantities;
- shipping addresses;
- artwork.
11. PAYMENTS & FEES
Summary
All orders require valid payment authorization.
Customer agrees to pay all:
- product charges;
- fulfillment fees;
- storage fees;
- shipping fees;
- taxes;
- chargeback fees;
- administrative fees.
PROMISE APPAREL LLC reserves the right to:
- change pricing at any time;
- suspend fulfillment for unpaid balances;
- recover unpaid amounts;
- charge administrative fees;
- reject transactions.
Customer represents and warrants that they are authorized to use submitted payment methods.
Fraudulent payment activity may result in:
- account suspension;
- collections;
- legal action;
- reporting to authorities.
12. TAXES
Summary
Customer is responsible for applicable taxes unless otherwise stated.
Customer is solely responsible for:
- sales tax;
- resale certificates;
- VAT obligations;
- import duties;
- customs fees;
- business tax compliance.
PROMISE APPAREL LLC may collect taxes where legally required.
Customer agrees to provide valid tax documentation upon request.
13. SHIPPING & DELIVERY
Summary
Shipping timelines are estimates only and carrier delays are outside our control.
PROMISE APPAREL LLC utilizes third-party carriers including but not limited to:
- UPS;
- USPS;
- FedEx;
- DHL.
Delivery estimates are approximate and not guaranteed.
PROMISE APPAREL LLC shall not be liable for:
- carrier delays;
- lost packages after carrier acceptance;
- weather disruptions;
- stolen packages;
- incorrect addresses;
- customs delays;
- failed delivery attempts.
Risk of loss transfers to Customer upon carrier acceptance.
Customer is solely responsible for ensuring accurate shipping information.
14. RETURN & CLAIMS POLICY
Summary
Custom-made products are final sale.
Due to the custom-made nature of Products, all sales are final except as expressly provided under this Claims Policy.
PROMISE APPAREL LLC does not provide refunds for:
- buyer’s remorse;
- incorrect size selection;
- customer artwork mistakes;
- transparency issues;
- color expectations;
- customer formatting errors.
Claims must be submitted within:
- 5 business days for damages;
- 5 business days for misprints;
- 7 days for shipping issues.
Claims submitted outside these windows may be denied.
Approved claims may result in:
- replacement;
- partial store credit;
- reprint.
Any replacement, reprint, credit, accommodation, or exception provided by PROMISE APPAREL LLC shall not constitute an admission of fault, liability, defect, or legal obligation.

15. STORAGE & INVENTORY TERMS
Summary
Inventory stored at our facilities may incur fees and may be disposed of if abandoned.
PROMISE APPAREL LLC reserves the right to charge storage fees for inventory occupying warehouse space.
Inventory inactive, unpaid, or abandoned for more than 30 days may be:
- discarded;
- liquidated;
- recycled;
- donated.
PROMISE APPAREL LLC shall not be liable for losses relating to:
- inventory shrinkage;
- warehouse incidents;
- force majeure events;
- inventory discrepancies;
- supplier defects.
16. CHARGEBACK & PAYMENT DISPUTES
Summary
Fraudulent or abusive chargebacks may result in collections and legal action.
Customer agrees not to initiate chargebacks for:
- approved artwork;
- delivered orders;
- custom-made products;
- properly fulfilled shipments.
PROMISE APPAREL LLC reserves the right to submit evidence including:
- uploaded artwork;
- mockups;
- tracking records;
- production logs;
- Terms acceptance records;
- proof approvals.
Fraudulent chargebacks may result in:
- collections;
- account suspension;
- recovery of attorney fees;
- legal action.
17. LIMITATION OF LIABILITY

Our liability is strictly limited.
TO THE FULLEST EXTENT PERMITTED BY LAW:
PROMISE APPAREL LLC SHALL NOT BE LIABLE FOR:
- lost profits;
- lost sales;
- delayed launches;
- marketplace penalties;
- reputational damage;
- business interruption;
- consequential damages;
- incidental damages;
- indirect damages;
- emotional distress;
- advertising losses.
UNDER NO CIRCUMSTANCES SHALL PROMISE APPAREL LLC’S LIABILITY EXCEED THE TOTAL AMOUNT PAID FOR THE AFFECTED ORDER.
SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.
18. INDEMNIFICATION

You agree to legally protect PROMISE APPAREL LLC from claims relating to your business and content.
Customer agrees to defend, indemnify, and hold harmless PROMISE APPAREL LLC from all:
- claims;
- lawsuits;
- liabilities;
- damages;
- settlements;
- penalties;
- attorney fees;
- legal costs;
arising from:
- customer artwork;
- intellectual property claims;
- customer resale;
- customer advertising;
- product misuse;
- customer negligence;
- marketplace disputes;
- third-party claims.
19. FORCE MAJEURE
Summary
We are not liable for events outside our reasonable control.
PROMISE APPAREL LLC shall not be liable for delays or failures caused by:
- natural disasters;
- labor shortages;
- supplier shortages;
- utility outages;
- cyber attacks;
- shipping interruptions;
- machine failures;
- pandemics;
- government actions;
- software outages;
- acts of God.
20. ARBITRATION & CLASS ACTION WAIVER

Disputes must be resolved individually through arbitration.
ALL DISPUTES ARISING FROM OR RELATING TO THESE TERMS SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION IN ORANGE COUNTY, CALIFORNIA.

- jury trial rights;
- participation in class actions;
- consolidated proceedings.

- fulfillment;
- operations;
- customer service;
- analytics;
- marketing;
- fraud prevention.
PROMISE APPAREL LLC does not sell payment information.
22. SMS & MARKETING CONSENT

By providing contact information, you consent to communications from us.
Customer consents to receive:
- SMS messages;
- email notifications;
- marketing communications;
- operational updates.
Message frequency may vary.
Standard carrier rates may apply.
Customer may opt out by replying STOP.
23. NO PROFESSIONAL ADVICE
Summary
Operational suggestions or recommendations provided by PROMISE APPAREL LLC are provided for convenience only.
Any recommendations, suggestions, mockups, file adjustments, print suggestions, color suggestions, operational guidance, or workflow assistance provided by PROMISE APPAREL LLC are provided solely as courtesy accommodations and shall not constitute:
- legal advice;
- marketing advice;
- branding advice;
- manufacturing guarantees;
- technical guarantees;
- professional consulting services.
Customer remains solely responsible for all final approvals, decisions, artwork, business operations, and product representations.
24. GOVERNING LAW
Summary
California law governs these Terms.
These Terms shall be governed by the laws of the State of California without regard to conflict-of-law principles.
25. GENERAL TERMS
Summary
If part of these Terms becomes unenforceable, the remaining sections still apply.
If any provision of these Terms is deemed invalid or unenforceable, remaining provisions shall remain fully enforceable.
Failure by PROMISE APPAREL LLC to enforce any provision shall not constitute waiver.
These Terms constitute the entire agreement between Customer and PROMISE APPAREL LLC.
25. RIGHT TO MODIFY TERMS

PROMISE APPAREL LLC reserves the right to modify, update, revise, replace, or change these Terms, Policies, pricing structures, operational procedures, fulfillment workflows, product offerings, software functionality, integrations, and service conditions at any time without prior notice.
PROMISE APPAREL LLC reserves the unrestricted right, at its sole discretion, to:
- modify these Terms;
- update policies;
- revise pricing;
- alter fulfillment procedures;
- change production standards;
- discontinue products or services;
- update software functionality;
- modify integrations;
- revise claim procedures;
- modify shipping methods;
- update operational requirements;
- revise storage fees;
- modify automation systems;
- update account requirements;
- alter discount structures;
- change turnaround estimates;
at any time and without prior notice.
Any modifications become effective immediately upon posting, publishing, updating, or implementing the revised Terms or Policies.
Customer is solely responsible for reviewing the most current version of all Terms and Policies before:

- connecting stores;
- using Services;
- submitting payments.
Customer’s continued use of Services following any modification constitutes full acceptance of the revised Terms.
PROMISE APPAREL LLC shall not be liable for any losses, misunderstandings, operational interruptions, or damages arising from modifications to these Terms or Services.
FINAL ACKNOWLEDGMENT
BY ACCESSING, USING, SUBMITTING ARTWORK TO, CONNECTING A STORE TO, OR PLACING AN ORDER THROUGH PROMISE APPAREL LLC OR PROMISE POD, CUSTOMER ACKNOWLEDGES THAT THEY HAVE:

- UNDERSTOOD;
- ACCEPTED;
- AGREED TO BE LEGALLY BOUND
BY THESE TERMS AND ALL RELATED POLICIES.
